Ochi Holdings Co., Ltd. (TSE:3166) agreed to acquire Taiyo Industry Co.,Ltd. from Fudow Company Limited on August 7, 2018. Under the transaction, Ochi Holdings Co., Ltd acquires 1,000 shares. It is expected to be about ¥1.8 billion, which includes expenses related to company investigations and share value appraisal by a third-party. Post transfer, Taiyo Industry Co.,Ltd. will become a consolidated subsidiary of Ochi Holdings Co., Ltd. During the financial year ended March 2018, Taiyo Industry Co.,Ltd. reported net assets of ¥897 million, total assets of ¥3.5 billion, sales of ¥6.7 billion, operating income of ¥217 million and net income of ¥150 million. The transaction has been resolved by the Board of Ochi Holdings Co., Ltd on August 7, 2018. The transaction is expected to be completed on August 10, 2018.

OCHI HOLDINGS CO., LTD. is primarily engaged in the building material business, life business and processing business. The Company has three business segments. The Building Material segment sells housing related materials purchased from domestic building materials manufacturers, agents and trading companies to domestic building materials and lumber dealers, house manufacturers, general contractors, construction companies and home centers. The Life segment is involved in the purchase and sale of household goods such as heating equipment and others to supermarkets, home centers and drug stores in Hokkaido, Tohoku and Kanto areas. The Processing segment is engaged in the purchase of building materials, as well as the processing, assembly and sale of precursor structures mainly for wooden houses.
