Bsp Incorporated (JASDAQ:3800) signed a basic agreement to acquire remaining 34.8% stake in Beacon Information Technology Inc. from Sanshin Co., Ltd., Toyo Building Maintenance K.K. and others on November 6, 2014. Beacon Information Technology Inc. will dissolve after merger. An agreement for the transaction will be signed in mid December, 2014. For the period ended March, 2014, Beacon Information Technology had consolidated net assets of ¥3.1 billion, consolidated total assets of ¥4.72 billion, consolidated net sales of ¥2.97 billion and consolidated net loss of ¥34 million. Masahiro Shindo, Beacon's Representative Director, Chief Executive Officer and Tai Akiyama, Beacon's Director, Executive Officer and Brand Director, will be the new Directors of Bsp. The transaction is expected to close on April 1, 2015.

Bsp Incorporated will issue 0.6 shares for each share of Beacon Information Technology Inc. and will issue 0.72 million treasury shares. Beacon Information Technology Inc. will change its name to UNRITA, Inc. Beacon Information Technology Inc. and Bsp Incorporated made a resolution in favor of the transaction on December 15, 2014. Frontier Management, Inc. acted as third party appraiser for Bsp Incorporated.
