logly,Inc. (TSE:6579) entered into an agreement to acquire moto, Inc. from Shunsuke Totsuka for ¥1 billion on March 30, 2021. The consideration includes cash consideration of ¥700 million and earnout consideration of ¥300 million. The contract signing date will be April 1, 2021. Advisory expense will be ¥35 million and ¥15 million fee for earnout. For the period ended September 30, 2020, moto reported total assets of ¥240.95 million, sales of ¥316.89 million, profit of ¥80.35 million, ordinary profit of ¥82.4 million, net profit of ¥57.14 million and net resources of ¥155.16 million. The transaction is expected to be completed by April 2, 2021. Advisory expense of ¥35 million will be paid and up to ¥15 million earnout payment.

The Company is engaged in the provision of advertising within an advertising network using the native advertising platform LOGLY lift. The Company is engaged in the provision of service that creates a network to distribute advertisements to the websites of multiple media companies and accepts orders for advertisements. The main customers are mainly advertisers including advertising agencies and media companies, as well as the person who uses a computer or smartphone to view or click on an advertisement distributed using LOGLY lift on the Internet.
