STRABAG SE learned from a report published yesterday by the US Department of the Treasury's Office of Foreign Assets Control (OFAC) that OFAC, among others, had the shareholder MKAO 'Rasperia Trading Limited' ('Rasperia') and Iliadis JSC ( 'Iliadis') on the US sanctions list.

Iliadis, along with other people in Russia, are accused of the transaction in connection with the STRABAG shares, which was the background to our ad hoc announcement on March 27, 2024, to have served to circumvent sanctions . Rasperia was placed on the US sanctions list by OFAC because it is controlled by Iliadis.

The inclusion of Rasperia on the sanctions list in the USA has no direct impact on STRABAG's business activities STRABAG SE and its subsidiaries are not sanctioned and are not affected in their operational business.

' From the beginning, i.e. from March 1, 2022, we took decisive steps to distance ourselves from the Russian shareholder: all dividend payments are frozen, Rasperia was excluded from everyone Annual general meetings were excluded and the supervisory board member appointed by Rasperia was dismissed. Last but not least, with the capital measure we have pushed this share package below the important threshold of 25% ,' says Klemens Haselsteiner, CEO of STRABAG SE, confirming the company's clear course.

However, due to the EU Sanctions Regulation, Rasperia's shares in STRABAG SE have been frozen since the EU sanctioned them and STRABAG has always taken the position that Rasperia itself is affected by sanctions following EU sanctions and that the transaction in Russia affects this status of Rasperia and the SE shares have not changed.
