Japan PC Service Co., Ltd. (NSE:6025) entered into a contract to acquire Next Line Co., Ltd. from Nobunori Ito and Takeshi Shimokawa for ¥200 million on March 27, 2020. As reported, Japan PC Service Co. will acquire 300 shares of Next Line Co., Ltd. Nobunori Ito and Takeshi Shimokawa will sell 50% stake each in Next Line Co., Ltd. Japan PC Service Co plans to use borrowings from existing banks and cash on hand to fund the acquisition. Following the acquisition, Next Line Co., Ltd will become a consolidated subsidiary of Japan PC Service Co., Ltd. For the year ended September 2019, Next Line Co., Ltd. reported net assets of ¥8 million, total assets of ¥380 million, sales of ¥829 million, operating income of ¥5 million and net income of ¥3 million. The Board of Directors of Japan PC Service Co., Ltd. resolved the transaction on March 27, 2020. The share transfer execution date is March 31, 2020. The acquisition costs also include Brokerage commission etc of ¥12.3 million.
Japan PC Service Co.,Ltd. is a Japan-based company primarily engaged in the provision of setting installation and troubleshooting of network-enabled devices, such as computers, tablet devices and digital consumer electronics. Its Smart Life Support segment has been divided into two divisions. The Field Support business is involved in the operation of directly operated stores and member stores, providing support services in major cities in Kanto, Kansai, Chubu and Kyushu. Its Membership Support Center business mainly involves in the provision of setting and failure correspondence services for network-enabled devices including computers in its call center by telephone or remote (remote control). This business is targeted at alliance companies that have entered into a contract with the Company. Its After Sales segment proposes switching proposals for network lines and proposing and selling network-compatible devices by telephone to customers of its customers and affiliated companies.
