Japan PC Service Co.,Ltd. (NSE:6025) agreed to acquire 70% stake in Smahospital Co., Ltd. and 70% stake in Axis Co., Ltd. from Seiji Izutani for approximately ¥320 million on March 27, 2019. Under the terms of the transaction, Japan PC Service Co.,Ltd. will acquire 35 shares each of Smahospital Co., Ltd and Axis Co., Ltd. The transaction is to be funded by borrowing debt for ¥250 million and cash on hand of ¥70.6 million. The transaction is expected to complete on March 28, 2019.

Japan PC Service Co.,Ltd. is a Japan-based company primarily engaged in the provision of setting installation and troubleshooting of network-enabled devices, such as computers, tablet devices and digital consumer electronics. Its Smart Life Support segment has been divided into two divisions. The Field Support business is involved in the operation of directly operated stores and member stores, providing support services in major cities in Kanto, Kansai, Chubu and Kyushu. Its Membership Support Center business mainly involves in the provision of setting and failure correspondence services for network-enabled devices including computers in its call center by telephone or remote (remote control). This business is targeted at alliance companies that have entered into a contract with the Company. Its After Sales segment proposes switching proposals for network lines and proposing and selling network-compatible devices by telephone to customers of its customers and affiliated companies.
