Convening of ordinary and extraordinary Shareholders' Meeting

The Board of Directors resolved to convene the ordinary and extraordinary Shareholders' Meeting, in single call, on 18 February 2020, in order to resolve upon the following items:

Ordinary Part

1. Integration of the Board of Directors. Related and consequent resolutions.

Extraordinary Part

1. Amendments to articles 13, 17 and 23 of Articles of Association also for the purposes of entitling the Board of Directors to submit a list of candidates for the election of the Board of Directors as well as increasing the number of Board Members drawn from the minority list. Related and consequent resolutions.

Proposals to be submitted to the Shareholders' Meeting

Ordinary part

Integration of the Board of Directors

It is proposed to the Shareholders' Meeting to resolve upon Mr. Andrea Zappia's appointment as new member of the Board of Directors of the Bank, co-opted by the same Board pursuant to sec. 2386 of the Italian Civil Code on 15 January 2020.

Extraordinary part

Amendments to Articles of Association

It is proposed to the Shareholders' Meeting to resolve upon the amendments to articles 13, 17 and 23 of Articles of Association also for the purposes of entitling the Board of Directors to submit a list of candidates for the election of the Board of Directors as well as increasing the number of Board Members drawn from the minority list.

The Board of Directors approved the proposed amendments to Articles of Association in its meeting dated 7 October 2019 and they were subsequently submitted to the evaluations

of the Bank of Italy that, on 10 December 2019, issued the relevant assessment measure pursuant to secs. 56 and 61 of the Legislative Decree 24 February 1998, no. 58 (TUF).
