The Marketing Alliance, Inc. entered into a letter of intent to acquire Hemisphere Assets from 2734524 Ontario Inc. for CAD 0.51 million.

The Marketing Alliance, Inc. (OTCPK:MAAL) entered into a letter of intent to acquire Hemisphere Assets from 2734524 Ontario Inc. for CAD 0.51 million on November 8, 2022. The Marketing Alliance, Inc. entered into a definitive agreement to acquire Hemisphere Assets from 2734524 Ontario Inc. for CAD 0.49 million on January 17, 2023. Closing of the Hemisphere Transaction is subject to the satisfaction of all conditions precedent thereto including, without limitation, receipt of all necessary regulatory approvals including, but not limited to, TSX Venture Exchange approval and the approval of the Alcohol and Gaming Commission of Ontario, in each case, as required, and the satisfaction of certain other closing conditions customary in transactions of this nature.

The deal is expected to close on or before January 15, 20223.
