SNAI : Court rejects challenge of shareholders meeting

PRESS RELEASE

(pursuant to art. 114 of Legislative Decree 58/98)

Court of Florence rejects the challenge of the shareholders' meeting resolution presented by certain shareholders Milan, 13 January 2017 - SNAI S.p.A. (the "Company" or "SNAI") hereby notifies that, in the context of the challenge of the Shareholders' meeting resolution of 9 June 2016 presented by certain shareholders and with specific reference to the third item of the agenda (related to the appointment of the Board members) as per the press release issued on 12 September 2016, the Court of Florence, on 11 January 2017, rejected the notice to suspend such shareholders' meeting resolution by accepting the reasons of the Company.

Furthermore, the court has ratified that the Board of Directors acted correctly when identifying the link between the list of Board members presented by the challenging shareholders and the majority list presented by Global Games S.p.A..

The court has therefore confirmed the legitimacy of the Company and its chairman in leading the shareholders' meeting held on 9 June 2016.
