Reference: The Company's notification letter dated November 1 and 4, 2016

Siam Makro Public Company Limited ("the Company"), whereby Siam Food Services Limited ("Siam Food Services"), a wholly-owned subsidiary of the Company, has entered into the sale and purchase agreement dated 31 October 2016 with the sellers who are not related persons of the Company for an acquisition of an 80% interest in certain companies, namely Indoguna (Singapore) Pte Ltd (a company incorporated in Singapore), Indoguna Dubai LLC (a company incorporated in the United Arab Emirates), Lordly Company Limited (a company incorporated in Hong Kong) and Just Meat Company Limited (a company incorporated in Hong Kong) (together the "Target Companies"), of which details had been notified to you earlier in the Reference.

The Company would like to update the progress of the aforesaid investment that Siam Food Services has accomplished the terms according to the sale and purchase agreement and the share transfer of the Target Companies has been completed on January 26, 2017 with a total transaction value of approximately SGD 110.58 million which is equivalent to approximately THB 2,743.44 million (Currency Rate of THB 24.81 : SGD 1.00). However, within 90 days from the transaction date, it may be subject to increase or decrease in the value of the transaction based on the terms of the sale and purchase agreement dated October 31, 2016.
