Share sale program: The notifying party concluded an agreement with a bank acting as commissionary about the disposal of up to 1,458,198 SAP shares in total (“Total Shares”). The sales will be carried out during the period from and including June 14, 2023, until and including July 15, 2024, at the latest. In this connection, it is intended to sell between 40% and 60% of the Total Shares until December 13, 2023, provided that the lower limit of 40% may be decreased in case of certain market disruption events as stipulated in the agreement, and the bank may determine in its free discretion the times of the sales, the daily numbers of shares, and the relevant sales prices of the SAP shares. The average target price, however, is the average volume-weighted XETRA order book price during the sales period.
