Green Remanufacturing Solutions LLC acquired MarketingMobileText, Inc. from Slimko Holdings LLC and others in a reverse merger transaction on March 7, 2014. Following the consummation of the transaction, the members of Green Remanufacturing Solutions will beneficially own approximately 82% of the issued and outstanding common stock of MarketingMobileText. At the closing, all of the Green Remanufacturing interests issued and outstanding immediately prior to the closing date shall be exchanged for 2.3 million shares of MarketingMobileText common stock. Upon consummation of the transaction, MarketingMobileText will adopt the business plan of Green Remanufacturing.
The transaction is subject to the complete and satisfactory due diligence review of Green Remanufacturing by MarketingMobileText, approval of the transaction by the Board of Directors of Green Remanufacturing and MarketingMobileText and the approval of the Green Remanufacturing holders, any necessary third-party consents, including but not limited to consents necessary from the lenders, creditors, vendors and lessors and completion of the financing, i.e. a sufficient number of subscriptions shall have been received for shares of MarketingMobileText common stock to consummate the minimum amount in the financing.
