ITEM 5.03 AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
Certificate of Amendment to Articles of Incorporation
On January 7, 2014, the Board of Directors of TagLikeMe Corp., a Nevada corporation (the "Company") authorized an increase in the Company's shares of common stock to 4,000,000,000 shares, par value $0.001, and to create 20,000,000 shares of blank check preferred stock, par value $0.001. On January 9, 2014, the Company filed a Certificate of Amendment with the Nevada Secretary of State to increase its authorized capital to 4,000,000,000 shares of common stock, par value $0.001, and to create the 20,000,000 shares of blank check preferred stock, par value $0.001 (the "Increase in Authorized"). In accordance with the terms and provisions of the Certificate of Amendment, the Board of Directors is authorized to divide the 20,000,000 shares of preferred stock from time to time into one or more series, and to determine or change by resolution for each such series its designation, the number of shares of such series, the powers, preferences and rights and the qualifications, limitations or restrictions for the shares of such series.
The Increase in Authorized was effective with the Nevada Secretary of State on January 9, 2014 when the Certificate of Amendment was filed. The Increase in Authorized was approved by the Board of Directors and the shareholders holding a majority of the total issued and outstanding shares of common stock on January 7, 2014.
