Item 2.02 Results of Operations and Financial Condition.
On January 27, 2021, Facebook, Inc. ("Facebook") issued a press release and will
hold a conference call regarding its financial results for the quarter and full
year ended December 31, 2020. A copy of the press release is furnished as
Exhibit 99.1 to this report.
The information furnished with this Item 2.02, including Exhibit 99.1, shall not

Facebook is making reference to non-GAAP financial information in both the press
release and the conference call. A reconciliation of GAAP to non-GAAP results is
provided in the attached Exhibit 99.1 press release.

Zuckerberg's Facebook Page (https://www.facebook.com/zuck) as means of
disclosing material non-public information and for complying with its disclosure
obligations under Regulation FD.
Item 8.01 Other Events.
Facebook's board of directors has authorized a share repurchase program of its
Class A common stock, which commenced in 2017 and does not have an expiration
date. As of December 31, 2020, $8.6 billion remained available and authorized
for repurchases under the program. On January 27, 2021, Facebook announced an
increase of $25 billion in the amount authorized for repurchases under the
program. The timing and actual number of shares repurchased under the program
depend on a variety of factors, including price, general business and market
conditions, and other investment opportunities. Shares may be repurchased
through open market purchases or privately negotiated transactions, including
through the use of trading plans intended to qualify under Rule 10b5-1 under the
Exchange Act.
