Group Public Company Limited (the "Company") would like to notify that on. 4/2022,
on June 22, 2022 has resolved to approve the Acquisition and Disposition of Assets by entering into a memorandum concerning the trading of shares of Thai Ticket Major Company Limited ( TTM) For the sale of 200,000 ordinary shares held in Thai Ticket Major Company Limited or 20.00% of the total issued shares to TICKETMASTER EUROPE HOLDCO LTD., which is not a connected person of the Company, at the share price.
614.70 Baht each, totaling 122.94 million Baht. By authorizing the Board of Directors and/or Chief Executive Officer of the Company or a person that the Board of Directors or the chairman of the executive committee have the authority to take any action necessary and in connection with the transfer of such shares; This includes contacting, negotiating, amending. Change the relevant terms and conditions. including to have the power to sign a memorandum of understanding share purchase agreement and any other related documents and to take any other actions necessary and in connection with the transfer and sale of such shares This includes the delegation of powers in all respects.

The company would like to inform you that The Company has entered into the share purchase agreement of TTM above with TICKETMASTER EUROPE HOLDCO LTD. on July 21, 2022. The share purchase agreement has significant matters which can be summarized as follows:

Seller : Major Cineplex Group Public Company Limited.
: TERO Entertainment Public Company Limited.
Buyer : TICKETMASTER EUROPE HOLDCO LTD.
