Dismissal of Independent Registered Public Accounting Firm
On February 10, 2020, Kura Sushi USA, Inc. (the "Company") dismissed Deloitte &
Touche LLP ("Deloitte") as its independent registered public accounting firm.
The decision to dismiss Deloitte was approved by the Audit Committee of the
Company's Board of Directors.
The reports of Deloitte on the Company's financial statements for the fiscal
years ended August 31, 2019 and August 31, 2018 did not contain an adverse
opinion or a disclaimer of opinion, and they were not qualified or modified as
to uncertainty, audit scope, or accounting principle. During the fiscal years
ended August 31, 2019 and August 31, 2018 and the subsequent interim period
through February 10, 2020, there were (a) no disagreements with Deloitte on any
matter of accounting principles or practices, financial statement disclosure, or
auditing scope or procedures, which disagreements, if not resolved to the
satisfaction of Deloitte, would have caused them to make reference to the
subject matter of the disagreements in their reports on the financial statements
for such years, and (b) no "reportable events" as that term is defined in Item
304(a)(1)(v) of Regulation S-K.
The Company has provided Deloitte with a copy of the foregoing disclosures and
has requested that Deloitte furnish the Company with a letter addressed to the
Securities and Exchange Commission (the "SEC") stating whether or not they agree
with the statements made herein. A copy of Deloitte's letter to the SEC is filed
as Exhibit 16.1 to this Current Report on Form 8-K.

client acceptance procedures. KPMG completed such procedures on February 11,
2020. During the fiscal years ended August 31, 2019 and August 31, 2018 and the
