Honyaku Center Inc. (JASDAQ:2483) concluded a letter of intent to acquire ISS Co., Ltd from Minerva No.1 Investment Limited Partnership, a fund of Academia Co., Ltd. and another shareholder on March 1, 2012. Honyaku Center Inc. will acquire 5,000 shares of ISS Co., Ltd. The transaction shall be funded through Honyaku Center Inc.'s own capital. After the transaction, ISS Co., Ltd will operate as a subsidiary of Honyaku Center Inc.
The due diligence will begin from early March 2012 and a contract is expected to be concluded in early April 2012. ISS Co., Ltd reported net assets of ¥31 million, total assets of ¥452 million, sales of ¥1.24 billion, operating loss of ¥31 million, ordinary loss of ¥41 million and net loss of ¥43 million for the year ending August 2011. The Board of Directors of Honyaku Center Inc. passed a resolution for the transaction on March 1, 2012 and the transaction is expected to be completed in April 2012. The transaction will have a negligible impact on Honyaku Center Inc.'s consolidated business results for year ending March 2012.
Honyaku Center Inc. (JASDAQ:2483) signed a share transfer agreement to acquire SS Co., Ltd from Minerva No.1 Investment Limited Partnership, a fund of Academia Co., Ltd. and another shareholder for approximately ¥330 million on August 20, 2012. Ikuo Higashi will be appointed as the Chairman of the Board of Directors of ISS. The transaction is expected to close on September 3, 2012.

The Others segment includes interpreters- dispatching and interpretation for meetings, business negotiation and factory tour.
