Mérieux Développement SAS and Eurazeo (ENXTPA:RF) signed an agreement to acquire 76% in NOVACAP SASU from Ardian on April 11, 2016. Under the terms, Mérieux Développement SAS will acquire 9% while Eurazeo will acquire 67%. Ardian will retain a minority stake. The consideration comprises an earn-out of €30 million and an enterprise value of €654 million. Eurazeo will inject €160 million in equities. Novacap generated revenues of €634 million and EBITDA of €91.5 million in 2015. The deal is subject to regulatory approvals.
