APPOINTMENT OF NON-EXECUTIVE DIRECTOR

Reference is made to the announcement on the poll results of the 2020 second extraordinary general meeting (the "EGM") of Agricultural Bank of China Limited (the "Bank") dated 27 November 2020. Ms. ZHOU Ji was elected as a non-executive director of the Bank at the EGM, subject to the ratification of her qualification by the China Banking and Insurance Regulatory Commission (the "CBIRC").

The Bank received the Approval on the Qualification of Ms. ZHOU Ji of Agricultural Bank of China Limited (Yin Bao Jian Fu [2021] No. 173) from the CBIRC recently. According to relevant regulations, Ms. ZHOU Ji served as a non-executive director since 5 March 2021 and her term of office shall be three years.
