• Minutes of the Extraordinary Shareholders' Meeting of 20 January 2020

Milan, 24 January 2020 - Giglio Group S.p.A. (Ticker GG), first e-commerce 4.0 platform listed on the MTA market managed by Borsa Italiana, STAR segment, announces that the minutes of the Extraordinary Shareholders' Meeting held on 20 January 2020 has been made available to the public at the Company's registered office, on its website(www.giglio.org), and on the authorised storage mechanism eMarketStorage.

The merger resolution of Giglio Group s.p.a (incorporating company), was registered to the competent Company Register on January 21, 2020, while the resolution of Ibox s.r.l. (incorporated company) was registered with the competent Company Register on January 20, 2020 as required by art. 2502-bis of the Civil Code.

Moreover, following the press release of 20 January 2020, it is noted that the merger by incorporation of the wholly-controlled company Ibox s.r.l. into Giglio Group s.p.a. is a transaction with an intra-group related party, and as such, no significant interests arise from it. Therefore, the transaction shall be considered exempt from the application of the Consob regulation set forth in Resolution no. 17221 of 12 March 2010 pursuant to the provisions of Art. 14 of the same and to the Related Parties Regulation adopted by the company.
