C'sMEN Co.,Ltd. (JASDAQ:3083) agreed to acquire Spic International Co., Ltd. from TSI Holdings Co.,Ltd. (TSE:3608) on December 16, 2020. Spic International generated sales of ¥2.9 billion, total assets of ¥1.8 billion and net loss of ¥218 million during the year ending February, 2020. At the C'sMEN Co.,Ltd's board of directors meeting held on December 16, 2020, the C'sMEN Co. resolved to acquire the shares of Spic International Co., Ltd. The conclusion of a stock sales contract is subject to the condition that no significant risk is found in the legal due diligence, etc. that will be implemented in the future. The conclusion of stock sales contract February 28, 2021. The execution date of the share transfer is March 1, 2021. The consolidated financial statements of profit and loss are scheduled to start in the fiscal year ending February 2022. Therefore, there will be no impact on the business results for the fiscal year ending February 2021.
