Closing of the transaction aimed at the acquisition, from the related party Gousson, of the brand Roger Vivier and of Roger Vivier Paris Sas

Subscription by Gousson of the capital increase approved by the Extraordinary Shareholders' Meeting of Tod's and reserved to Gousson

With reference to the agreement entered into by and between Tod's SpA ("TOD'S") and Gousson Consultadoria e Marketing S.r.l. ("Gousson") for the acquisition by Tod's - through its subsidiary Partecipazioni Internazionali S.r.l. - of the brand Roger Vivier and other assets in relation thereto (the "Agreement"), Tod's hereby gives notice that the Agreement has been implemented following the occurrence of all the conditions precedents which such agreement was subject to and the completion, on the date hereof, of all the other obligations set out by the Agreement.

The transfer of the ownership of the brand Roger Vivier and its related intellectual property rights in favour of Partecipazioni Internazionali S.r.l. (now Roger Vivier S.p.A.) and the transfer, in favour of Roger Vivier France Sas of the interest representing the entire share capital of Roger Vivier Paris Sas, a company incorporated under French law which manages the flagship store "Roger Vivier" in Paris, Rue du Faubourg Saint Honorè, 29, were eventually completed against payment of the agreed consideration.

Gousson simultaneously re-invested a portion of the received consideration (EUR 207,500,047.14) by subscribing the 2,484,138 ordinary shares of Tod's issued in connection with the capital increase approved by the extraordinary shareholders' meeting of Tod's on January 13th, 2016, and disclosed to the market on the same date. The newly issued shares, issued in connection with the capital increase, have been admitted to listing by Borsa Italiana S.p.A..
