ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors;


           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On January 12, 2021, Ralph Nicoletti, the Company's Senior Vice President and Chief Financial Officer, informed The AZEK Company Inc. (the "Company") and its Board of Directors of his intention to retire sometime during the 2021 calendar year. The Company will commence a search for Mr. Nicoletti's replacement. No specific date has been established for Mr. Nicoletti's retirement. Mr. Nicoletti is expected to continue in his current role until such time as a successor is named and otherwise assist in the transition.
