Tazmo Co., Ltd. (JASDAQ:6266) agreed to acquire Facility Co.,Ltd. from Gebr. SCHMID GmbH, Protek Technology Limited, Kazuyuki Kishi and JAFCO Super V-3 Investment Limited Partnership, fund managed by JAFCO Co., Ltd. (TSE:8595) and other sellers for approximately ¥780 million on March 1, 2017. Under the terms, 0.26 million shares will be acquired. The deal will be financed from loans. Post completion, Facility Co.,Ltd. will operate as a subsidiary of Tazmo Co., Ltd. For the year ended January 31, 2016, Facility Co.,Ltd. reported net assets of ¥0.7 million, total assets of ¥2.9 million, sales of ¥3.1 million, operating income of ¥0.07 million and net income of ¥0.06 million. The transaction is expected to close on April 5, 2017. An advisory cost of ¥36 million is also incurred in the deal.
