Steris Plc (NYSE:STE) announced that it has entered into a note purchase agreement for a private placement of gross proceeds of $293,598,100 on January 23, 2017. The transaction will include participation from existing lenders, Metropolitan Life Insurance Company, MetLife Insurance Company USA, Voya Insurance and Annuity Company., and other lenders. The company will issue 3.93% senior notes, series A-1, due February 27, 2027 for $50,000,000, 4.03% senior notes, series A-3, due February 27, 2029 for $45,000,000, 1.86% senior notes, series A-2, due February 27, 2027 for €60,000,000 ($64,183,800), 2.04% senior notes, series A-4, due February 27, 2029 for €20,000,000 ($21,394,600), 2.30% senior notes, series A-6, due February 27, 2032 for €19,000,000 ($20,234,900), 3.04% senior notes, series A-5, due February 27, 2029 for £45,000,000 ($55,670,900), and 3.17% senior notes, series A-7, due February 27, 2032 for £30,000,000 ($37,113,900). Interest on the senior notes will accrue from February 27, 2017 and is payable in arrears, beginning in August, 2017 and every six months thereafter. The currency conversion was made through www.oanda.com on January 23, 2017. The transaction is expected to close on February 27, 2017.
