Liu Qingli signed the share transfer agreement to acquire 11.33% stake in Shanghai Worth Garden Products Co., Ltd. (SZSE:300483) from Shanxi Huijing Enterprise Management Consulting Ltd. for approximately CNY 420 million on July 22, 2020. As reported, Shanxi Huijing Enterprise Management Consulting Ltd. intends to transfer 9.55 million unrestricted shares and 4.42 million restricted shares at a price of CNY 30.22 per share to Liu Qingli. After this share transfer, the 4.42 million shares of Shanghai Worth Garden Products held by Liu Qingli will continue to be locked in accordance with the lock-up conditions agreed in the "agreement on issuing shares to purchase assets". If Shanxi Huijing Enterprise Management Consulting’s 4.42 million shares of Shanghai Worth Garden Products' restricted shares cannot be transferred in accordance with the agreement due to the restricted period, the parties agree to only execute the transfer of 9.55 million shares of the Shanghai Worth Garden Products' restricted shares. Following the transfer, Shanxi Huijing Enterprise Management Consulting Ltd. will not hold any shares in Shanghai Worth Garden Products Co., Ltd.
