Notice Concerning Change of Representative Directors (Resignation of Director)

SBI Holdings, Inc. (hereinafter "the Company") hereby announces a change (resignation of Director) of the Company's Representative Director as described below.

1. Name and job titles of changing (resigning) representative director

Name:	Katsuya Kawashima
Current job titles:	Representative Director, Senior Executive Vice President & COO

2. Reason for change (resignation)

Mr. Katsuya Kawashima is scheduled to be appointed as Representative Director, President and Chief Executive Officer of Shinsei Bank, Limited (hereinafter "Shinsei Bank"), a consolidated subsidiary of the Company, after being appointed as the Director of Shinsei Bank at the extraordinary general meeting of shareholders to be held on February 8, 2022, for the election of directors, subject to formal approval by the Board of Directors of the newly appointed directors. In order to concentrate on the management of Shinsei Bank, he will resign from his position as Representative Director of the Company. Furthermore, he will also resign from the position of Director of the Company's consolidated subsidiaries, which he has concurrently held, by today.

3. Date of change February 7, 2022

4.Others

Even after the resignation of the said Director, the number of Directors of the Company as stipulated in the laws and regulations and the Articles of Incorporation will be fulfilled.
