Munich, December 6, 2021. The Supervisory Board of ProSiebenSat.1 Media SE today set the personnel course for the future of the Group with a series of decisions regarding the Supervisory Board and Executive Board. This is intended to ensure the successful continuation of the Group's strategic realignment and to position the Group for the media landscape of the future.

The Chairman of the Supervisory Board of ProSiebenSat.1 Media SE, Dr. Werner Brandt (67), has decided not to stand for re-election to the Supervisory Board at the Annual General Meeting on May 5, 2022 after eight years and two election periods. The Supervisory Board intends to elect Dr. Andreas Wiele (59), formerly a member of the Executive Board of Axel Springer SE and a proven transformation expert, at the upcoming Annual General Meeting as its new Chairman and thus as Dr. Brandt's successor.

Dr. Wiele will be a court-appointed member of the Supervisory Board from February 13, 2022. He succeeds Adam Cahan (49), who has resigned from the Supervisory Board to take up a new role as CEO of PAX Labs, Inc., a technology company in California. The Supervisory Board plans to recommend confirming the appointment of Dr. Wiele at the Annual General Meeting. He would then be elected as successor to Dr. Brandt in the Chairman position.

Bert Habets (50), former CEO of RTL Group, will also be proposed for election as another new member of the Supervisory Board. He has profound experience in leading global media companies and extensive expertise in launching and expanding streaming video services across multiple countries.

Professor Dr. Rolf Nonnenmacher, a member of the Supervisory Board since 2015, will stand for re-election at the Annual General Meeting on May 5, 2022 to continue his successful work on the Audit Committee.

The Supervisory Board has also taken important decisions in relation to the Executive Board. The contract of Rainer Beaujean (53) will be extended for five years with effect from July 1, 2022. With this contract extension, he will be appointed as Group Chief Executive Officer. In addition, Ralf Peter Gierig (56), currently Deputy CFO, will become the new Group Chief Financial Officer of ProSiebenSat.1 Media SE effective January 1, 2022. He will receive a three-year contract until December 31, 2024.

The Executive Board team of ProSiebenSat.1 Media SE will thus consist of Rainer Beaujean, from January 2022 Group Chief Executive Officer, and the Executive Board members Christine Scheffler, Wolfgang Link and Ralf Peter Gierig.

The extension of Rainer Beaujean's contract and his appointment as Group Chief Executive Officer is the logical consequence of his very successful work on the Executive Board. Together with the Executive Board team, Mr. Beaujean has led ProSiebenSat.1 safely through the Corona crisis and implemented the strategic realignment with impressive consistency. Ralf Peter Gierig, a longtime expert on the company and an accomplished financial expert who has also made a name for himself in the capital market as a trusted contact, is taking over the Finance division."

Dr. Andreas Wiele (59) has broad international experience from three decades in the media sector. As a member of the Executive Board of Axel Springer SE since 2000, the transformation expert has been continuously driving and significantly shaping the transformation from a print publishing house to a digital company. Since his exit in May 2020, he has been active as a company founder and business angel. He also was a senior advisor to KKR's global tech/media and telecoms business.

Bert Habets (50) is CEO of the Greek Antenna Group. Between 1999 and 2019, Habets was at RTL Group, based in Luxembourg, and most recently CEO and member of Bertelsmann's Group Management Committee.

Ralf Peter Gierig (56) is currently Deputy Group CFO and EVP Group Finance & Investor Relations of ProSiebenSat.1 Group. With a degree in economics, he has been Deputy Group CFO since October 2016 and already assumed the Group CFO role at ProSiebenSat.1 Media SE on an interim basis from April to May 2017 as well as from April to June 2019. Prior to that, he held various financial management positions at ProSiebenSat.1 for many years.
