COMUNICADO AO MERCADO

A Pet Center Comércio e Participações S.A. ("Companhia"), em cumprimento à Instrução CVM 358/02, conforme alterada, comunica aos seus acionistas e ao mercado em geral que recebeu, na data de hoje, carta de renúncia do Conselheiro Sr. Piero Paolo Picchioni Minardi.

A Companhia agradece ao Sr. Piero por suas contribuições relevantes e dedicação durante todo o período em que exerceu seu cargo.

Adicionalmente, o Conselho de Administração da Companhia deliberou, nesta data, na forma do artigo 150 da Lei 6.404, de 15 de dezembro de 1976, a eleição do Sr. Irlau Machado Filho ao Conselho de Administração, para a posição vaga em razão da renuncia apresentada pelo Sr. Piero, que servirá até a próxima Assembleia Geral da Companhia, oportunidade em que deverá ser deliberada a ratificação da sua nomeação.

O Sr. Irlau Machado Filho formou-se em Administração de Empresas pelo Augustana College e realizou cursos de extensão em Managerial Economics, Management Information Systems pela University of South Dakota. Desde 2014, o Sr. Irlau Machado Filho exerce o cargo de CEO do Grupo NotreDame Intermédica. Entre 2006 e 2014, atuou como CEO do A.C. Camargo Cancer Center e, anteriormente, exerceu cargos de liderança na Medial Saúde, no Banco Santander e Citibank. Assim, ele tem reconhecida experiencia na área de operações, gestão de pessoas, finanças e estratégia, com sólida carreira no segmento de saúde. Sr. Irlau Machado Filho também é membro do Conselho de Administração do Grupo NotreDame Intermédica e da Localiza.

A Companhia manterá o mercado informado sobre as próximas providências a serem tomadas pela Administração, nos termos das legislação e regulamentação aplicáveis.

NOTICE TO THE MARKET

Pet Center Comércio e Participações S.A. ("Company"), in compliance with article 12 of CVM Instruction 358/02, as amended, informs its shareholders and the market that it received, today, a letter of resignation from Mr. Piero Paolo Picchioni Minardi to the position of the Company's Board of Directors.

The Company thanks Mr. Piero Paolo Picchioni Minardi for his relevant contributions and dedication throughout the period in which he held his position.

Additionally, the Company's Board of Directors deliberated, today, pursuant to article 150 of Law 6.404, of December 15, 1976, the election of Mr. Irlau Machado Filho to the Board of Directors for the vacant position due to the resignation presented by Mr. Piero, who will serve until the next General Meeting of the Company, at which time the ratification of his appointment shall be deliberated.

Mr. Irlau Machado Filho graduated in Business Administration from Augustana College and took extension courses in Managerial Economics, Management Information Systems from the University of South Dakota. Since 2014, Mr. Irlau Machado Filho has held the position of CEO of Grupo NotreDame Intermédica. Between 2006 and 2014 he served as CEO of AC Camargo Cancer Center and previously held leadership positions at Medial Saúde, Banco Santander and Citibank. Thus, he has recognized experience in the areas of operations, people management, finance and strategy, with a solid career in the health sector. Mr. Irlau Machado Filho is also a member of the Board of Directors of Grupo NotreDame Intermédica e Localiza.

The Company will keep the market informed of the next arrangements to be taken by the Management, under the terms of the applicable legislation and regulation.
