Ozu Corporation (TSE:7487) entered into share transfer contract to acquire Dipro Co., Ltd from Fukuyo, Co., Ltd., OK Co., Ltd., Shinichi Takeda, Masato Fukuda, Yukio Fujita, and Hirotaka Kaneko on May 13, 2013. Ozu Corporation will acquire 1,440 shares. Fukuyo Co., Ltd. will sell 57.64% stake, OK Co., Ltd. will sell 21.53% stake, and Shinichi Takeda will sell 10.
42% stake in Dipro. Ozu will operate Dipro Co. as its subsidiary.
For the year ended March 2012, Dipro had net assets of ¥646 million, total assets of ¥1.03 billion, sales of ¥3.27 billion, operating loss of ¥13 million, current loss of ¥5 million and net loss of ¥25 million. Board of Directors of Ozu Corporation passed a resolution for the transaction on May 13, 2013. The transaction is expected to close on May 17, 2013.
