The allocation of new shares to Private Placement(PP), a minority shareholder of
Wind Energy Holding Company Limited ("WEH"), amounting to 3,939,750,000 shares
at an offering price of 0.90 baht. per share or total value 3,545,775,000 baht
as compensation for the purchase of WEH ordinary shares to the sellers of WEH
shares. The sellers of WEH shares will bring not more than 8,755,000 shares of
WEH ordinary shares to be paid as the Company's newly issued ordinary shares
instead of cash payment
