Nova Organic Public Company Limited ("the Company") would like to inform you that the Board of Directors' Meeting No. 4/22, held on August 15, 2022, it was resolved to approve the company's investment in the establishment of a subsidiary with a total registered capital of not more than 5 million baht, with the objective of this investment being to increase the competitiveness and expand the group of dietary supplements that are more suitable for teenagers. The company's shareholding in subsidiaries is 52% of the registered capital, which is expected to be able to complete the registration of the company within the third quarter of 2022.

However, this transaction is not a connected transaction and the size of the transaction does not require any disclosure under regulations on acquisition and disposition of assets of the listed companies. But through the acquisition of investments in other companies, as a result, the company became a subsidiary of the company. The report is for transparency to provide investors with equally important information.
