The registrant has experienced delays in completing its Quarterly Report on Form 10-Q for the quarter ended November 30, 2020 within the prescribed time period, due to delays experienced in completing the financial statements and related disclosures associated with the Company's November 16, 2020 acquisition of a 33.85% interest in Axion Ventures, Inc.

The registrant anticipates that it will file its complete Quarterly Report on Form 10-Q for the quarter ended November 30, 2020 on or before the fifth day following the prescribed due date.
