MEDICA ACQUIRES THE RESIDUAL 40% OF TECNOIDEAL AMERICA INC,

COMMERCIAL COMPANY ALREADY CONTROLLED BY MEDICA

Medolla (MO), 13 September 2022 - Medica S.p.A., an integrated Italian biomedical and MedTech group with a strong international footprint, announces the acquisition, through its subsidiary Tecnoideal Srl, by Ludovico Giavotto of 40% of the share capital of Tecnoideal America Inc, commercial company of Medica Group since its foundation, dedicated to the development of the Automation business in the American market.

The current acquisition thus brings to 100% the stake of Tecnoideal Srl in the share capital of Tecnoideal America Inc..

The consideration for the transaction is Euro 0.3 million (approximately equal to the shareholders' equity of third parties), is not subject to adjustments and is fully financed by available liquidity.

The acquisition of the remaining 40% of Tecnoideal America Inc. contributes to the vertical integration of the Medica Group, with a view to complete monitoring of the value chain. As proof of our confidence in his management skills, Ludovico Giavotto has been confirmed in the role of CEO of Tecnoideal America Inc.
