Item 1.01 Entry into a Material Definitive Agreement.
On January 26, 2021, Lipocine Inc. (the "Company" or "Lipocine") entered into an
Underwriting Agreement (the "Underwriting Agreement") with Raymond James &
Associates, Inc., as representative of the underwriters identified therein
(collectively, the "Underwriters"), pursuant to which the Company agreed to
issue and sell 14,285,714 shares of common stock, $0.0001 par value per share,
at a public offering price of $1.75 per share (the "Offering"). Under the terms
of the Underwriting Agreement, Lipocine granted the Underwriters a 30-day option
to purchase up to an additional 2,142,857 shares of common stock solely to cover
over-allotments, if any. Lipocine expects to receive approximately $23.3 million
in net proceeds from the Offering (excluding the over-allotment option), after
deducting underwriting discounts and commissions and estimated offering
expenses. The shares are being offered and sold pursuant to the Company's
effective registration statement on Form S-3 (Registration No. 333-250072),
which was declared effective by the Securities Exchange Commission (the "SEC")
on November 23, 2020, and the base prospectus included therein, as amended and
supplemented by the preliminary prospectus supplement filed with the SEC on
January 25, 2021, and the final prospectus supplement to be filed with the SEC.
The Offering is expected to close on or about January 28, 2021, subject to
satisfaction of customary closing conditions. The Company intends to use net
proceeds from the Offering for general corporate purposes, which may include
additions to working capital and capital expenditures. The Company has not yet
determined the amount of net proceeds to be used specifically for any particular
purpose or the timing of these expenditures. Accordingly, the Company's
management will have significant discretion and flexibility in applying the net
proceeds from the sale of these securities.
The Underwriting Agreement contains customary representations, warranties and
covenants of the Company, customary conditions to closing, indemnification
obligations of the Company and the Underwriters, and termination and other
provisions customary for transactions of this nature. All of the Company's
executive officers and directors have also agreed not to sell or transfer any
securities of the Company held by them for a period of 90 calendar days from
January 26, 2021, subject to limited exceptions.
