DEFINITIVE ACQUISITION OF THE SHARES ALLOCATED FREE OF

CHARGE IN 2021

JANUARY 2023

On January 20, 2023, 32,750 shares allocated free of charge under the free share allocation plan set up by the Board of Directors on January 20, 2021 (out of a total of 36,750 shares initially

allocated) were definitively acquired by 65 beneficiaries (out of the 79 initial beneficiaries), employees and corporate offi-

cers, who met the vesting conditions provided for in the plan. A capital increase of 8,842.50 euro, through the issue of 32,750 new shares with a par value of 0.27 euro each, was therefore recorded, bringing the share capital to 2,017,474.29 euro.

Of the 32,750 shares definitively acquired, 1,250 were acquired

by Mr. William GOUESBET and 1,250 by Mr. Yannick DELIBIE, it

being specified that, as beneficiaries and corporate officers,

the latter are required to keep the free shares thus acquired in registered form until the termination of their respective func- tions.

GLOBAL ECONOMIC CONTEXT

Main impact of the global economic situation on the Group's business :

  1. Impact on the global electronics market, particularly on supplies of electronic components such as semiconduc- tors;
  2. Increase in Kerlink's production and infrastructure mana- gement costs due to rising energy costs;
  3. The war in Ukraine and geopolitical tensions contributed to economic uncertainty which had a significant negative effect on all financial markets;
  4. Falling cryptocurrency markets in 2022.

CONTROLLING OPERATING COSTS

The Group has continued to keep a tight rein on its external costs and is reducing its workforce in the first half of 2023.

GAIA RESEARCH CAMPAIGN - ETHIFINANCE

Gaïa-Index, a subsidiary of EthiFinance and a major player in ESG (Environment, Social and Governance) rating of French listed SMEs and SMIs, has awarded Kerlink a score of 69/100for the Gaia 2023 campaign on 2022 data. As a reminder, the Group entered the 2021 Gaïa ranking with a score of 62/100 above the sector average (55/100).

AGREEMENT ON THE RESTRUCTURING DEBT

On October 23, 2023, the Group announced the finalisation of an agreement with all its banking partners for the restructuring of its financial debts.

The negotiations initiated with the banking partners on 16 May 2023 resulted in a comprehensive agreement on 20 October 2023. The Kerlink Group has thus obtained the following adjustments:

  • For loans subject to amortisation as of 16 May 2023: capital exemption of loan instalments for a period of 18 months from 16 May 2023, the maturity of said loans having been extended by 18 months;
  • For a loan already deferred for amortisation on 16 May 2023: an
    18-month extension of the maturity, with no additional excess.

The Group has also frozen the payment of its tax and social security instalments in respect of the period from May 2023 to August 2023 and has obtained a deferral of the debt settlement of €733k thus constituted, over 24 months, from 20 November 2023.
