RETIREMENT OF AN INDEPENDENT DIRECTOR AND CHANGES IN

COMPOSITION OF THE BOARD OF DIRECTORS AND AUDIT COMMITTEE

The Board of Directors (the "Board") of Interra Resources Limited (the "Company") wishes to announce that Mr. Lim Hock San has retired from his position as an Independent Director of the Company with effect from 29 April 2021, after the annual general meeting of the Company held on the same date. Following the retirement of Mr. Lim Hock San, he will cease to be a member of the Audit Committee, the Nominating Committee and the Remuneration Committee.

The Board wishes to record its gratitude and appreciation to Mr. Lim Hock San for his contributions made during his tenure as an Independent Director of the Company.

Mr. Ng Soon Kai will be appointed as a member of the Audit Committee with effect from 29 April 2021. The Board considers Mr. Ng Soon Kai to be non-independent for the purposes of Rule 704(8) of the Listing Manual of the Singapore Exchange Securities Trading Limited.
