Item 8.01 Other Events.

On January 27, 2021, Iconix Brand Group, Inc., a Delaware corporation (the "Company"), received written confirmation from the Nasdaq Office of General Counsel that the Company has regained compliance with The Nasdaq Stock Market's ("Nasdaq") market value of publicly held securities rule, and that the Company is in compliance with other applicable listing standards as of the date thereof. The January 27, 2021 letter also confirmed that the Company's pending hearing before the Nasdaq Hearings Panel has been cancelled and the Company's common stock will continue to be listed and traded on the Nasdaq Stock Market.
