Fuji Card Service Co., Ltd. entered into a contract to acquire credit card business from Fuji Co., Ltd. (TSE:8278) for ¥2.8 billion on January 7, 2013. The purchase price will be paid in two rounds on March 1, 2013 and March 25, 2013. As of November 30, 2012, the credit card business had total assets of ¥2.85 billion and total liabilities of ¥12 million.
The transaction is not subject to approval from shareholders. The transaction was resolved by Board of Directors of Fuji Co. Ltd. The transaction does not include FJ card business.
The transaction is expected to close by March 1, 2013.
