Exelon Generation Company, LLC announced today that it has commenced an exchange offer (the Exchange Offer) to exchange (i) up to $523,303,000 of its outstanding unregistered 4.25 percent Senior Notes due 2022 (outstanding 2022 notes) for a new series of its 4.25 percent Senior Notes due 2022 (new 2022 notes) and (ii) up to $788,203,000 of its outstanding unregistered 5.60 percent Senior Notes due 2042 (outstanding 2042 notes, and collectively with the outstanding 2022 notes, the outstanding notes) for a new series of its 5.60 percent Senior Notes due 2042 (new 2042 notes, and collectively with the new 2022 notes, the new notes).

The new notes will have substantially the same terms as the outstanding notes, except that the new notes will be registered under the Securities Act of 1933. The outstanding notes were issued in a private placement in compliance with Rule 144A and Regulation S under the Securities Act.

The Exchange Offer will expire at 5 p.m. New York City time on Feb. 6, 2013, unless extended. The Exchange Offer is not conditioned upon any minimum principal amount of outstanding notes being tendered for exchange. U.S. Bank National Association is the exchange agent for the Exchange Offer.

A registration statement describing the Exchange Offer has been filed with the Securities and Exchange Commission.
