Eurofins Cerep SA (ENXTPA:ECRNR) and Jean-Louis Oger, along with the members of the current leadership of Bioaccess, agreed to acquire majority stake in Bioaccess S.A. for €225 million on June 17, 2015. Eurofins Scientific will pay €150 million in cash and assume €75 million in debt. Several current shareholders, all of whom are professional clinical biologists, will invest and hold the remainder of the shares in Bio-Access post-closing. The transaction is expected to close within a few months, subject to fulfillment of specific conditions precedent, as well as other customary closing conditions and regulatory approvals, the clearance from the French competition authority. Jean-François Louit, Alexandre Dejardin, Caroline Lan, Jérémy Thézée, Barbara Petrovic of Mayer Brown France acted as legal advisors to Bioaccess S.A, its founder and its minority shareholders. Tristan Audouard and Cyril Modicom of Scotto & Associés and CMS Francis Lefevbre acted as tax advisors in the deal. Avodire and Mélanie Coiraton-Mavré, Maud Bakouche, Alban Van de Vyver, Johannes Singelnstein, Bastien Thomas, Elena Pintea, Sarah Usunier, Laurianne Cunha and Marion Lopez Carreno of Racine, SELARL acted as legal advisors to Eurofins Scientific.
