("CLWP"), a closely held company with registered offices at Quilometro 14 da Rodovia Una-Santo Luzia, Zona Rural, Una-BA, CEP 45.690-
000, corporate tax register (CNPJ/MF) number 15.512.172/0001-11, by Tractebel Energia's subsidiary, Tractebel Energias Complementares Participações Ltda. ("TBLP"), a closely held
company with its registered offices in the city of Florianópolis, state of Santa Catarina at Rua
Paschoal Apóstolo Pítsica, 5064, part, corporate tax register (CNPJ) number
09.212.990/0001-04.
CLWP is the holding company for seven specific purpose companies, each one responsible for the development of a wind generation project, with a joint installed capacity of about 206
MW, sited in the municipalities of Umburanas and Sento Sé, 420 Km from the city of
Salvador in the state of Bahia.
The acquisition is worth R$ 22,638,000.00 (twenty-two million, six hundred and thirty-eight thousand reais), which will be paid contingent on certain contractual conditions being satisfied.
CLWP's controlling company is also developing additional wind power projects amounting to
150 MW in the same region, to be acquired by TBLP in the amount of R$ 16,500,000.00 (sixteen million, five hundred thousand reais), among other conditions, dependent on obtaining the respective environmental licenses, the approval of which is nearing completion.
This operation is in line with the strategy of both Tractebel Energia and the GDF SUEZ Group in expanding its generating complex from complementary resources, ramping up the Company's sustainable growth in Brazil through renewable energy projects.
Since neither TBLP's acquisition of CLWP constitutes a significant investment for Tractebel nor do the provisions of Article 256 of Law 6.404/76 apply, the transaction will not be submitted to the general shareholders meeting for ratification.
