APPROVAL FROM SGX REGCO FOR EXTENSION OF TIME TO COMPLY WITH RULE

704(7) OF THE CATALIST RULES

1. INTRODUCTION

1. The board of directors (the "Board" or the "Directors") of ecoWise Holdings Limited (the "Company") refers to the Company's announcement on 9 August 2021 ("Announcement") in relation to the Company's application to Singapore Exchange Regulation Pte. Ltd. (the
   "SGX Regco") for a four (4) weeks extension of time for the Company to appoint Independent Directors to fill the vacancy in its Audit Committee by 3 September 2021 (from the deadline of 4 August 2021) (the "Extension of Time") (the "Application"), so as to comply with Rule
   704(7) of the Singapore Exchange Securities Trading Limited Listing Manual Section B:
   Rules of Catalist (the "Catalist Rules")("Waiver").
2. Unless otherwise defined, all capitalised terms used herein shall have the same meaning as ascribed to them in the Announcement.

2. GRANT OF WAIVER BY SGX REGCO

1. The Board wishes to inform that SGX RegCo had, on 17 August 2021, through the Company's sponsor, informed the Company that it has no objection to the Waiver with regards to compliance with Rule 704(7) of the Catalist Rules, subject to the following (the
   "SGX Waiver Conditions"):-
2. 1. the Company announcing the Waiver granted, the reasons for seeking the Waiver, the conditions as required under Rule 106 of the Catalist Rules and if the Waiver conditions have been satisfied. If the Waiver conditions have not been met on the date of the announcement, the Company must make an update announcement when the conditions have all been met; and
   2. submission of a written confirmation from the Company that it is not aware of any information (including but not limited to financial information) that will have a material bearing on investors' decision which has yet to be announced by the Company.
3. The Waiver will not be effective if any of the SGX Waiver Conditions have not been fulfilled.

3. CONFIRMATION BY THE COMPANY

1. The reasons for seeking the Waiver have been duly disclosed in the Announcement. Please refer to the Announcement for further details.
2. The Company confirms that it is not aware of any information (including but not limited to financial information) that will have a material bearing on investors' decision which has yet to be announced by the Company ("Confirmation"). The Company will submit the Confirmation to SGX Regco in due course.
