Delisting Proposal

Summary of proposal

  • The prospects for the Company's core business are strong

  • However, those prospects are hindered by the inability to raise capital from investors in listed companies due to:

    • the lack of liquidity in ECO's shares; and

    • the associated depressed share price

  • In addition, an ASX listing imposes significant cost, compliance and reporting burdens for a company of ECO's size

  • The Board believes there will be significant benefits from allowing the

business to develop in an unlisted environment

  • The Board believes the Delisting Proposal will address these issues and is in the best interests of the company and its shareholders

    1

    Delisting Proposal

    Impact of the proposal

  • ECO can develop its new business model and value proposition without the exposure associated with being listed

  • Improved access to capital from investors familiar with unlisted growth

    companies

  • Shareholders continue to receive the protections of being invested in a public company, including ongoing disclosure via our website

  • While trading shares on the ASX will no longer be available:

    • current ASX trading volumes limit liquidity in any event

    • shareholders can continue to trade their shares privately by lodging a valid Transfer & Acceptance form with the company's share registry
