Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 17, 2024, Mr. George Way, the Chief Financial Officer of Dominari Holdings Inc., a Delaware corporation (the "Company"), informed the Company of his decision to voluntarily resign from his position to pursue other professional opportunities. Mr. Way's last day will be September 15, 2024, and he will remain in his current position to assist with the transition of his responsibilities until such date. Mr. Way's resignation is not due to any disagreement with the Company, its board of directors, or its management, or any matter relating to the Company's strategy, operations, policies, or practices. The Company intends to appoint a Chief Financial Officer to fill the vacancy caused by Mr. Way's departure.
