UPDATE ON ENTRY INTO A NON-BINDING MEMORANDUM OF UNDERSTANDING AS AN

INTERESTED PERSON TRANSACTION PURSUANT TO CHAPTER 9 OF THE LISTING

The Board of Directors (the "Board") of Digilife Technologies Limited (formerly known as Sevak Limited) (the "Company", and together with its subsidiaries, the "Group") refers to the announcement made on 23 June 2021 (the "Previous Announcement") in respect of the entry into a non-binding memorandum of understanding ("MOU") between Bharat IT Services Limited ("Bharat IT"), a wholly- owned subsidiary of the Company, and Smart Bharat Private Limited (formerly known as Smart Entertainment Private Limited) ("Smart Bharat"), which is beneficially owned and controlled by Dr Modi with approximately 99.93% of the shares owned by Dr Modi as at the date of this announcement. Accordingly, Smart Bharat, being an associate of Dr Modi, is considered as an "interested person" under the ambit of Chapter 9 of the Catalist Rules.

Unless otherwise defined, all capitalised terms used herein shall have the meanings ascribed to them in the Previous Announcement.

Pursuant to the terms of the MOU, Bharat IT and Smart Bharat are expected to enter into the Definitive Agreement by 21 October 2021. An amount of SGD 995,980 had been paid by Bharat IT to Smart Bharat as a Deposit within three working days of the signing of the MOU.

The Company has been informed by Smart Bharat that the Uttar Pradesh Government (India), which has jurisdiction over the district where the Sale Property is located, is coming up with a 10 year master plan (the "Master Plan") for the surrounding area where the Sale Property is located. This Master Plan may have an impact on the usage and development potential of the Sale Property.

The formal consultation process for the development of the Master Plan has been started in September 2021 by the Uttar Pradesh Government, to which stakeholders in the area including Smart Bharat had been invited to participate and submit their response. The firming up of the Master Plan may take 4 to 5 months approximately. In view of this development, Smart Bharat has requested, and Bharat IT has agreed to extend the deadline for entering into the Definitive Agreement by a further period of 4 months until 21 February 2022. Once the Master Plan is formally announced, the project may have more definitive guidelines from the Uttar Pradesh State Government.

Smart Bharat has also agreed to pay interest on the Deposit at a rate of 9% per annum from 21 October 2021 for the current extension of 4 months. Once the Definitive Agreement is signed, the outstanding interest due shall be adjusted from the Balance Payment to be paid.

The Company will make the necessary announcements, in compliance with the requirements of the Catalist Rules, as and when there are material developments in respect of the Purchase Transaction, the Definitive Agreement and other matters contemplated in this announcement.
