COPUS KOREA Co.,Ltd. announced a private placement of Unguaranteed Private Equity Exchange Bond with Bearer Type Interest Part for the gross proceeds of KRW 6,398,050,645 on June 28, 2021. The maturity date of bonds is June 30, 2024. The coupon rate of the bond is 0.0%, and there is no separate interest payment date. The company's bonds are exchangeable into Registered common stock for 1,884,551 shares at a price of KRW 3,395 per share. The exchange rate period is from July 30, 2021 to May 30, 2024. The transaction will include participation from Shinhan Investment Corp. for 3,199,023,625 bonds, Samsung Securities Co., Ltd. (in the status of trust business of Fund 4,5,6) for 500,000,000 bonds and Mirae Asset Securities Co., Ltd. (in the status of trustee of Fund 1,2,3) for 2,699,027,020 bonds. The company announced that it has obtained board approval. The deal is expected to be closed on June 30, 2021.
