Consec Corp. (JASDAQ:9895) agreed to acquire Sanin Kensetsu Service Co., Ltd. from Sachiko Miyazaki, Katsuyuki Miyazaki, Yoko Hashikawa and Kuniko Fukui for ¥40 million on January 17, 2013. Sachiko Miyazaki is selling its 48.25% stake and Katsuyuki Miyazaki is selling its 36.25% stake in nin Kensetsu Service Co., Ltd. Consec Corp. is acquiring 20000 shares of Sanin Kensetsu Service Co., Ltd. representing 100% stake. The transaction will be funded from the internal funds. For the period ending July 2012, Sanin Kensetsu Service Co., Ltd. reported total assets of ¥301.94 million, net assets of ¥113.99 million, sales of ¥596.92 million, operating profit of ¥42.05 million and net profit of ¥27.40 million. The transaction has been resolved by Board of Directors of Consec Corp. and is expected to close by January 24, 2013.
