The officers and directors have agreed that they will not, offer, pledge, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right or warrant to purchase, lend, or otherwise transfer or dispose of, directly or indirectly, any common shares of the trust or any securities convertible into or exercisable or exchangeable for common shares of the trust, for a period of 45 days from this date of the prospectus, without the prior written consent of Merrill Lynch, Pierce, Fenner & Smith Incorporated and UBS Securities LLC.
