CNOOC Limited announces that with effect from 22 December 2022, Mr. Xu Yugao ("Mr. Xu"), the General Counsel and the Chief Compliance Officer of the Company, has been appointed as a Joint Company Secretary, Secretary to the Board and Domestic Representative for Information Disclosure of the Company. Mr. Xu will be assisted by Ms. Tsue Sik Yu, May ("Ms. Tsue"), the other Joint Company Secretary of the Company, to perform his duties as a Joint Company Secretary of the Company. The Board also announces that Ms. Wu Xiaonan ("Ms. Wu") ceases to be a Joint Company Secretary, Secretary to the Board and Domestic Representative for Information Disclosure of the Company with effect from 22 December 2022 due to the reach of her retirement age.

Mr. Xu Yugao (), born in 1969, a professorial senior economist. Mr. Xu is a certified enterprise legal adviser and a certified senior enterprise risk manager. Mr. Xu obtained an engineering doctor degree in systems engineering from Tsinghua University in 1997, and previously served as an assistant researcher (lecturer) of the Development Research Institute for 21st Century of Tsinghua University.

From September 2000 to July 2002, he studied Technology and Policy Program in the Engineering Systems Division of Massachusetts Institute of Technology and obtained a master's degree. From July 2002 to August 2013, he successively served as the investment analysis management and strategic project manager of the Strategic Planning Department of China Oilfield Services Limited ("COSL", a company listed on the Stock Exchange in 2002 and the Shanghai Stock Exchange in 2007), the policy research manager of the Development and Research Office of China National Offshore Oil Corporation ("CNOOC"), the chief financial officer of CNOOC Petroleum Base Group Co. Ltd., the vice president and chief financial officer of CNOOC Energy Technology & Services Limited (a company listed on the Shanghai Stock Exchange in 2019).

From August 2013 to May 2016, he served as the general manager of the Legal Department of both CNOOC and the Company. From May 2016 to June 2020, he successively served as the director of the Policy Research Office of CNOOC and the president of CNOOC Institute for Executive Development. From December 2020 to December 2021, Mr. Xu served as a non-executive director of COSL.

From June 2020 to August 2022, Mr. Xu served as the general manager of the International Cooperation Department (Foreign Affairs Department) of both CNOOC and the Company. Since May 2021, he has been serving as the Deputy General Counsel of CNOOC, the General Counsel and the Chief Compliance Officer of the Company. Since August 2022, Mr. Xu has been concurrently serving as the general manager of Legal and Foreign Affairs Department of both CNOOC and the Company.

Mr. Xu has been appointed as a Joint Company Secretary, Secretary to the Board and Domestic Representative for Information Disclosure of the Company with effect from 22 December 2022. Ms. Tsue Sik Yu, May (), born in 1973, was appointed as a Joint Company Secretary of the Company with effect from 25 November 2008. She graduated from Curtin University of Technology in Australia with a bachelor of commerce in accounting.

Ms. Tsue furthered her education at The Hong Kong Polytechnic University in master of corporate governance from 2004 to 2006, and MBA from The University of Hong Kong from 2014 to 2016. She is a fellow member of both The Chartered Governance Institute and The Hong Kong Chartered Governance Institute since 2012 and became a member of FCCA since 2020. The Board also announces that Ms. Wu ceases to be a Joint Company Secretary, Secretary to the Board and Domestic Representative for Information Disclosure of the Company with effect from 22 December 2022 due to the reach of her retirement age.

Ms. Wu confirmed that there is no disagreement with the Board and there are no other matters need to be brought to the attention of the shareholders of the Company.
